These Terms and Conditions (the "Terms") govern access to and use of the LaunchStack Technology Ltd website, platform, services, and related materials (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Definitions

"LaunchStack Technology Ltd," "LaunchStack," "we," "us," or "our" means LaunchStack Technology Ltd. "Customer," "you," or "your" means the entity or individual using the Services. "User" means an authorized individual who accesses the Services on behalf of a Customer. "Customer Data" means information submitted to the Services by or on behalf of a Customer.

2. Scope of Services

LaunchStack provides technology advisory, delivery, and operational support services, including client portals, documentation repositories, support ticket systems, and associated automation. The Services are offered to enterprise customers and their authorized Users. We may update, enhance, or modify the Services at any time, provided such changes do not materially diminish the core functionality of paid services.

3. Eligibility and Authority

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

4. Accounts and Security

You are responsible for safeguarding account credentials and for all activities that occur under your account. You must promptly notify LaunchStack of any unauthorized access or security incident. We may suspend access where we reasonably believe account security is at risk.

5. Acceptable Use

You shall not use the Services to transmit unlawful, infringing, or harmful content; attempt to gain unauthorized access; interfere with system integrity; or use the Services in a manner that violates applicable law. We may suspend or terminate access for violations or suspected violations.

6. Customer Data

As between the parties, Customer retains all rights in Customer Data. You grant LaunchStack a limited license to host, process, and transmit Customer Data solely to provide the Services. You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining any required consents.

7. Confidentiality

Each party may disclose confidential information to the other. The receiving party will use the same degree of care it uses to protect its own confidential information, and at least reasonable care, to prevent unauthorized disclosure or use.

8. Intellectual Property

The Services, including all software, designs, and content provided by LaunchStack, are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, reverse engineer, or create derivative works of the Services.

9. Fees and Payment

If applicable, fees are set out in an order form or statement of work. Fees are payable in accordance with agreed terms and are non-refundable except as required by law. Taxes are your responsibility unless explicitly stated otherwise.

10. Support and Availability

Support and service levels are described in applicable agreements. While we seek to provide reliable services, access may be unavailable due to maintenance, updates, or events outside our control.

11. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate access if you breach these Terms or if required to do so by law. Upon termination, you must cease using the Services.

12. Warranties and Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, LaunchStack disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, LaunchStack shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill. In no event shall LaunchStack's aggregate liability exceed the fees paid by you for the Services in the twelve months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless LaunchStack from and against claims, damages, and expenses arising from your use of the Services or violation of these Terms.

15. Data Protection

Processing of personal data is governed by our Privacy Policy. Where applicable, parties will enter into data processing terms consistent with applicable data protection laws.

16. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms, except where prohibited by law.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes indicates acceptance of the updated Terms.
